Terms Of Use

By accepting this agreement, either by clicking on a box indicating your acceptance or by continuing to use this website (the “Site”), you agree to the Terms of this agreement. PLEASE READ THIS SITE’S USER AGREEMENT CAREFULLY BEFORE USING THIS SITE.

This agreement is between you as Site’s user and anyone to whom you grant access to the Site (“you”) and ulivingwell, LLC (d/b/a ulivingwell.com™ , “we”, or “us”).

Change in Terms of This Agreement: We retain the right to change the terms of this Site’s User Agreement at any time. We will post a notice on the Site and send you an email if those terms are material, in our reasonable discretion. Your use of the Site after such notice will be deemed acceptance of these changes.

Limitations on Your Use of the Site: You agree that you will not use this Site for any purpose if you are, employees or represent a direct competitor of ulivingwell.com™ .

You agree that, without ulivingwell.com's™ prior written permission, you will not use this Site for any other purpose than to review our provider network, schedule an individual session with a provider, join a support group, join Best Life by ulivingwell.com™ or one of our tiered Membership programs, refer a friend through a “Refer-a-Friend” program, leave your review and/or testimonial, leave your provider feedback through “Quality of Care” survey, leave process feedback through “Member Satisfaction” survey, or any other communication that directly relates to ulivingwell.com™ providing its Products and Services. Specifically, and without limitation, you agree you will not:

Copy, use, disclose or exploit information or material for an unlawful purpose or a purpose that infringes any copyright, property right or proprietary interest of ulivingwell.com™ or any 3rd party;
Copy, use, disclose or exploit for any unlawful purpose personally identifiable information such as name, phone, address, email, etc. of any of ulivingwell.com™ users;
Distribute the information contained in this Site to any person who is not duly authorized to use the Site or receive the information;
Share passwords, login information or user identification allowing others to use the Site on a basis other than what was intended for you;
Impersonate any person or entity or otherwise misinterpret your affiliation with any person or entity;
Modify or delete or in any way revise any material posted by any other person or entity without permission or authority to do so;
Restrict or inhibit any other user from accessing the Site and its Products and Services, including, without limitation, by means of “hacking” or defacing any part of the Site;
Change, decompile, disassemble, or otherwise reverse-engineer any part of the Site, or alter, translate, modify, or adapt the Site or any of its parts to create derivative works;
Make use of “framing”, or other means of redirecting content;
Use any search engine, software, tool, agent or other device or mechanism, including without limitation browsers, spiders, robots, avatars, or intelligent agents (other than those made available by ulivingwell.com™ on the Site or other generally available 3rd party web browsers) to navigate or search the Site; and
Engage in spamming, flooding, soliciting, or mass marketing via e-mail, direct mail, phone, or otherwise to ulivingwell.com™ .

Privacy of Individually Identifiable Personal Health and Financial Information (HIPAA): You agree to comply with all applicable laws, rules and regulations with your use of the Site and Site-related Products and Services, including the Federal Health Insurance Portability and Accountability Act (“HIPAA”) and applicable state privacy laws. To the extent that you seek access to health or financial information protected or covered by HIPAA or state privacy laws, you (a) represent and warrant to ulivingwell.com™ that you are entitled under HIPAA and state privacy laws to receive, access and use this information for the purpose of treatment, payment and healthcare operations as those terms are defined under federal and state law, including any applicable authorization from the individual patient/Member involved to receive and use this information, and (b) agree to use and disclose such information only for purposes permitted under HIPAA and applicable state privacy laws

Limited Warranty: ulivingwell.com™ represents and warrants that it has the right and authority to make the Site and the information contained in it available to you as authorized expressly by the Site’s User Agreement.

EXCEPT AS OTHERWISE PROVIDED ABOVE, THE SITE AND INFORMATION ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS, AND ulivingwell.com™ EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

ulivingwell.com™ DOES NOT WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE (OR THE SERVERS ON WHICH IT IS HOSTED) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE AND ANY MATERIALS PROVIDED THROUGH THE SITE ARE ENTIRELY AT YOUR OWN RISK.

Although the Site is accessible worldwide, not all Products and Services discussed, referenced or made available on the Site are available to all persons or in all geographic locations or jurisdictions. We make no representation that materials in the Site are appropriate or available for use in all locations. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR CONTENT WITHIN IT IS TO STOP USING THE SITE.
